Terms of Service

1. Definitions

In these terms: Kudvi, we, us and our mean BPLUS PRO LTD. Recipient means a verified service provider who has been issued a Kudvi QR code. Tipper means any person who pays a tip through a Kudvi payment page. Tip means a voluntary payment made by a Tipper for the benefit of a Recipient. Payment Provider means the regulated payment institutions we use to accept and disburse funds, currently including Stripe.

2. The service

Kudvi issues verified Recipients a personal QR code linked to a hosted payment page through which Tippers can leave voluntary tips.

Kudvi acts as the merchant of record for tips processed on the platform. This means the Tipper's payment is made to Kudvi, which then settles the corresponding amount to the Recipient after deduction of fees, using regulated Payment Providers and payout partners.

Kudvi is not a bank and does not provide regulated banking services. Funds are handled by our Payment Providers in accordance with their own regulatory obligations.

3. Accounts and eligibility

To become a Recipient you must be at least 18 years old, have the legal capacity to enter into contracts, provide accurate and complete information, and successfully complete identity verification as described in our KYC Policy.

You may hold only one account. You are responsible for keeping your login credentials confidential and for all activity under your account.

4. Verification

We verify the identity of every Recipient before issuing a QR code and may repeat or extend verification at any time. Verification includes identity document checks and screening against sanctions and politically exposed person lists, performed with the assistance of specialist providers.

We may decline, suspend or withdraw access where verification cannot be completed, where information proves inaccurate, or where required by law or by our Payment Providers.

5. Fees

Kudvi retains a service fee from each tip, together with the payment processing costs charged by the Payment Provider. The current service fee is displayed on our pricing page and at the point of each transaction.

We may change our fees. Changes apply only to tips processed after the change takes effect and will be announced on the platform in advance.

6. Payouts

Settled tip proceeds are paid out to the Recipient's designated payout method through our payout partners. Payout timing depends on the Recipient's country and chosen method.

We may delay, withhold or reverse payouts where reasonably necessary for fraud prevention, compliance with law, investigation of suspected breaches of these terms, or at the direction of a competent authority or Payment Provider.

Balances left unclaimed after account closure will be returned where lawfully possible. Where funds cannot be returned, they are handled in accordance with applicable law.

7. Nature of tips

Tips are voluntary and gratuitous payments in recognition of services genuinely rendered outside the platform. Kudvi payment pages may not be used to sell goods or services, to collect debts, or to receive payments that are anything other than voluntary tips.

Recipients are solely responsible for declaring and paying any taxes and social contributions due on amounts received through Kudvi.

8. Acceptable use

• Do not use the service for any unlawful purpose or in breach of any applicable law or regulation.
• Do not use the service to launder money, finance terrorism, or evade sanctions.
• Do not collect payments on behalf of third parties or resell access to the service.
• Do not misrepresent the purpose of a payment page or solicit payments through deception or pressure.
• Do not use the service if you are under 18.
• Do not interfere with the operation or security of the platform, or attempt to circumvent verification or fee mechanisms.

9. Intellectual property

The Kudvi name, logo, website, software and content are owned by BPLUS PRO LTD or its licensors. We grant Recipients a limited, revocable, non transferable licence to display their Kudvi QR code for the purpose of receiving tips. No other rights are granted.

10. Suspension and termination

You may close your account at any time. Outstanding balances will be settled in the normal payout cycle, subject to any lawful holds.

We may suspend or terminate access with immediate effect where we reasonably believe these terms have been breached, where required by law or by our Payment Providers, or where continued service would expose Kudvi, other users or the public to risk. Where lawful and practicable, we will give notice and reasons.

11. Service availability and disclaimers

The service is provided on an as is and as available basis. We do not warrant that the service will be uninterrupted or error free. To the extent permitted by law, all implied warranties are excluded.

12. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.

Subject to the above, Kudvi's total aggregate liability to any user arising out of or in connection with the service in any 12 month period is limited to the total service fees retained by Kudvi from that user's transactions in that period, or 100 GBP if greater. Kudvi is not liable for indirect or consequential loss, loss of profit, loss of business or loss of data.

13. Indemnity

Recipients agree to indemnify Kudvi against losses, claims and reasonable costs arising from their breach of these terms, their misuse of the service, or their violation of applicable law, except to the extent caused by Kudvi's own breach or negligence.

14. Changes to these terms

We may update these terms from time to time. Material changes will be notified on the platform or by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance. If you do not accept the changes you may close your account before they take effect.

15. Governing law and jurisdiction

These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction over any dispute, except that consumers resident elsewhere retain the protection of mandatory provisions of their local law and the right to bring proceedings in their local courts.
